CI Capital Investment Banking S.A.E., subsidiary of CI Capital Holding for Financial Investments (CICH.CA), acting as Lead Global Coordinator and Bookrunner, announces the successful completion of the initial public offering (“IPO”) of Banque du Caire S.A.E. (“BdC” or the “Bank”) on the Egyptian Exchange (“EGX”). The IPO was priced at EGP 5.30 per ordinary share, the upper end of the indicative price range of EGP 4.82 to EGP 5.30.
The offering comprised 6,862,500,000 ordinary shares, representing 45.0% of Banque du Caire’s issued share capital. The private tranche represented 95.0% of the offering (6,519,375,000 shares), while the public tranche represented 5.0% (343,125,000 shares). At the final offer price, the offering implied an equity market capitalization of approximately EGP 80.83 billion (USD 1.46 billion) for the Bank.
CI Capital led end-to-end execution of a highly complex IPO process, coordinating multiple workstreams, multi-faceted regulatory processes, while building solid investor engagement. CI Capital’s execution capabilities and international distribution were central to translating the Bank’s investment case into substantial investor demand and a successful market debut.
Total investor demand amounted to EGP 255.0 billion (USD 4.5 billion) at the final offer price, representing 7.0x coverage of the EGP 36.37 billion (USD 648 million) offering, which ranks as the largest IPO in EGX history. The private tranche attracted EGP 205.8 billion (USD 3.7 billion) in demand, the highest level recorded for an private tranche in EGX IPO history, representing 6.0x coverage, increasing to 19.8x after exclusion of key strategic and cornerstone investors. CI Capital generated ~60% of total institutional demand, and contributed to 64% of the allocated book, underscoring the high-quality demand generated from the CI Capital client base.
The order book attracted broad participation from international, regional and local investors, bringing together a diverse investor base and underscoring the breadth of interest in the Bank’s investment proposition. CI Capital also exclusively led the process to secure USD 100 million commitments from each of the European Bank for Reconstruction and Development (“EBRD”) and the International Finance Corporation (“IFC”), which were instrumental in enabling the offering to be upsized from 30.0% to 45.0% of the Bank’s issued share capital. These commitments, alongside those from cornerstone investors Helikon Investments Limited, Waha Investments Limited, Sustainable Capital Limited and RWC Asset Management LLP, brought total strategic and cornerstone commitments to USD 460 million.
CI Capital’s senior management commented on the successful completion of the offering: “We are very proud to have led this historic and landmark transaction, a watershed moment for the Egyptian capital markets; working very closely with the issuer, the selling shareholder and stakeholders over the past couple of years across multiple workstreams.
The strength of foreign institutional participation is particularly encouraging, signalling renewed international appetite for Egyptian equities after a period of more subdued engagement. This response underscores the EGX’s capacity to attract substantial capital to compelling investment opportunities. Our work in securing commitments from EBRD, IFC, Helikon and Waha, while mobilizing a diverse investor base helped underpin the offering’s success. These commitments, together with strong demand from the wider investor community, provide a powerful endorsement of BdC’s investment proposition.
We would also like to extend our sincere appreciation to Banque Misr, as the selling shareholder, for its continued trust and support, and to Banque du Caire’s management team and employees for their exceptional commitment, close collaboration and unwavering dedication throughout this journey. Their collective efforts and partnership have been instrumental in achieving this landmark milestone.”
